Terms of Service

NW DB is a self-service Database as a Service (DBaaS) operated by NUP WHITE Inc. ("Company", "we", "us"). NW DB provides an AI-native database platform with SQL, GraphQL, Vector Search, and MCP endpoint capabilities. By accessing or using NW DB, you agree to be bound by these Terms of Service.

To use NW DB, you must create an account using Google Sign-In or email/password registration. You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate and complete information during registration. You must be at least 16 years old to create an account. You are responsible for all activity that occurs under your account.

Commercial use of NW DB is completely free. You may build and operate commercial services, SaaS products, and client projects on NW DB without restriction. There are no additional licensing fees, revenue sharing requirements, or usage restrictions for commercial applications. This applies to all plans including the Standard plan.

1. Self-serve plans are billed monthly in advance — Hobby ¥3,500 / Pro ¥7,800 / Team ¥19,800 / Scale ¥50,000 (tax incl.). Enterprise is a custom quote from ¥110,000/mo (tax incl.). 2. Subscriptions are charged immediately on sign-up / plan selection and auto-renew on each monthly billing date. There is no free trial. Cancel from Billing → Cancel subscription at least 24h before the next billing date; you keep access until the end of the paid period. 3. Usage beyond plan quotas (API calls, storage, AI tokens, vectors, file storage) is metered. 4. Charged fees are non-refundable for any reason; no proration or unused-portion refunds. 5. Notwithstanding the above, if the service is continuously unavailable for 30 days due to our intent or gross negligence, you may claim a refund up to one month's fee for that period. 6. As an electronically-concluded contract, cooling-off (Act on Specified Commercial Transactions art. 26-8-3) does not apply. 7. Enterprise customers may resell under full white-label (resale price up to 10× our base unit price).

NW DB is operated as a self-service platform. All database operations, configuration, and management are performed through the dashboard or API. The Standard plan does not include dedicated phone or chat support. Documentation, API references, and community resources are available online. Enterprise plan customers receive dedicated support.

You retain all rights and ownership of data you store in NW DB. NW DB does not claim any intellectual property rights to your data. We will not access, use, or share your data except as necessary to operate the service, comply with law, or as described in our Privacy Policy.

Data stored in NW DB may be processed by AI agents for automated cleansing, normalization, masking, vectorization, and metadata extraction. These agents are designed to improve data quality and AI-readiness. You can enable or disable individual AI agents through the dashboard. AI processing is performed using Google Vertex AI and other cloud services. Data processed by AI agents is not used for model training.

NW DB is provided on a best-effort basis for Standard plan customers. We aim for high availability but do not guarantee specific uptime percentages for the Standard plan. Enterprise plan customers receive a Service Level Agreement (SLA) with uptime guarantees. Scheduled maintenance will be communicated in advance when possible.

To the maximum extent permitted by applicable law, NW DB and NUP WHITE Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claims arising from or related to the service shall not exceed the total fees paid by you in the 12 months preceding the claim.

Either party may terminate the service at any time. You can cancel your subscription through the dashboard billing page. Upon termination, your data will be available for export for 30 days. After 30 days, all data will be permanently deleted. We reserve the right to suspend or terminate accounts that violate these terms or engage in abusive behavior.

These Terms of Service shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the Tokyo District Court.

We may update these Terms of Service from time to time. We will provide at least 30 days notice of material changes via email to the address associated with your account. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

Enterprise plan subscribers ("Reseller Partners") may resell the service as part of their own products, SaaS offerings, or as agency goods, subject to the following: (1) Full white-label: Reseller Partners are not required to display "Powered by NW DB" or any of our trademarks. The service may be offered to end customers under the Reseller Partner's own brand. (2) Resale price ceiling: Resale prices may not exceed 10× the underlying NUP WHITE base unit prices for each metered feature. We publish base unit prices in the Enterprise rate sheet and may revise them with 3 months' notice. (3) No minimum-commit: Reseller Partners are not required to commit to a minimum monthly usage volume. Only the ¥100,000/month base fee is required; usage is invoiced the following month. (4) MCP-only governance: End customers reached through resale may interact with the service only via MCP tools and APIs approved by NUP WHITE. Direct SQL execution rights shall not be granted to end customers. This is a governance requirement. (5) Reseller Partners serve as the first-line support contact for end customers. NUP WHITE provides second-line support for infrastructure incidents and security events. (6) Material breach of this clause may result in suspension or termination of the resale license upon notice.
